These Terms of Service (“Terms”) govern access to and use of the FarmGod website, software platform, applications, interfaces, and related services (collectively, the “Services”) provided by FarmGod LLC (“FarmGod,” “we,” “us,” or “our”).
By accessing or using the Services, creating an account, or otherwise using FarmGod, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
FarmGod Services
FarmGod provides software-as-a-service (“SaaS”) technology for monitoring, managing, analyzing, and automating digital infrastructure and computing operations, including digital asset mining operations.
Features and functionality may vary based on customer configuration, equipment, integrations, subscription, and applicable customer agreements.
FarmGod may modify, enhance, add, remove, or discontinue features of the Services from time to time.
Customer Agreements
Customers may purchase or subscribe to FarmGod Services pursuant to a separate service agreement, order form, statement of work, subscription agreement, or other written agreement with FarmGod (collectively, a “Customer Agreement”).
If you or the organization you represent has a Customer Agreement with FarmGod, that Customer Agreement governs the Services provided to you and controls in the event of any conflict or inconsistency with these Terms.
These Terms do not modify, replace, expand, or supersede the terms of an executed Customer Agreement.
Accounts and Access
You are responsible for maintaining accurate account information and protecting your account credentials.
You may not share credentials with unauthorized persons or permit unauthorized access to the Services. You are responsible for activity occurring through accounts under your control and should promptly notify FarmGod of suspected unauthorized access or security incidents involving your account.
FarmGod may establish reasonable technical, security, or authentication requirements for accessing the Services.
Acceptable Use
You may use the Services only for lawful and authorized purposes.
You may not use the Services to interfere with or disrupt FarmGod or third-party systems; gain unauthorized access to accounts, equipment, networks, or information; introduce malicious code; circumvent security or access controls; violate applicable law; infringe the rights of FarmGod or others; or attempt to reverse engineer, copy, reproduce, or improperly exploit FarmGod software or technology.
FarmGod may restrict or suspend access when reasonably necessary to protect FarmGod, its customers, the Services, or affected systems.
Customer Systems and Operational Responsibility
FarmGod provides software and technology tools that may interact with customer-controlled or third-party equipment, networks, electrical systems, mining equipment, software, APIs, energy systems, and other infrastructure.
Unless expressly stated otherwise in a Customer Agreement, customers remain responsible for their equipment, facilities, infrastructure, operations, configurations, safety procedures, business decisions, and use of the Services.
FarmGod is not a substitute for appropriate electrical, mechanical, operational, cybersecurity, or physical safety systems.
No Guarantee of Results
FarmGod does not guarantee any particular financial, operational, mining, energy, production, profitability, uptime, equipment-performance, or other business result from use of the Services.
Performance may be affected by circumstances outside FarmGod’s control, including equipment condition, connectivity, electrical service, energy availability, environmental conditions, digital asset markets, mining difficulty, third-party systems, facility operations, and other external factors.
Analytics, alerts, recommendations, automated functions, artificial intelligence outputs, and other information provided through the Services are operational tools and should not be considered financial, investment, legal, electrical, engineering, or other professional advice.
Third-Party Services
FarmGod may use or integrate with third-party software, hardware, cloud services, communications platforms, artificial intelligence services, APIs, equipment, and other technologies.
FarmGod does not control third-party services and is not responsible for their availability, performance, security, accuracy, changes, interruptions, or failures.
Your use of third-party products or services may also be subject to terms established by the applicable third party.
Data and Privacy
Customers retain their rights in information and data they provide to FarmGod or that is generated through their equipment and operations, subject to the applicable Customer Agreement.
FarmGod may process information as reasonably necessary to provide, maintain, secure, support, troubleshoot, develop, and improve the Services.
FarmGod may use aggregated or de-identified information that does not reasonably identify a particular customer or individual for legitimate business purposes, including analytics, benchmarking, product development, service improvement, and demonstrating FarmGod capabilities.

Intellectual Property
FarmGod and its licensors retain all rights, title, and interest in the Services and associated software, technology, designs, interfaces, documentation, processes, trademarks, branding, inventions, improvements, and other intellectual property.
Use of the Services does not transfer ownership of FarmGod intellectual property to any customer or user.
You may not copy, sell, sublicense, distribute, reverse engineer, or create derivative works from FarmGod technology except where expressly authorized by FarmGod or where such restriction is prohibited by applicable law.
Security
FarmGod maintains administrative, technical, and organizational safeguards designed to protect systems and information within FarmGod’s control.
However, no internet-connected service, software platform, network, or information system can be guaranteed to be completely secure, continuously available, or free from errors.

Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT AS EXPRESSLY PROVIDED IN A CUSTOMER AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.
FarmGod disclaims warranties including merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, and suitability for any particular operational or business purpose.
FarmGod does not warrant that the Services will be uninterrupted, error-free, completely secure, or that every alert, command, automation, integration, recommendation, or other function will operate successfully under all circumstances.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FARMGOD AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, PRODUCTION, HASHRATE, DIGITAL ASSETS, DATA, BUSINESS OPPORTUNITY, EQUIPMENT USE, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.
For customers operating under a Customer Agreement, all warranties, liability limitations, exclusions, remedies, indemnification obligations, and allocations of risk are governed by that Customer Agreement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Suspension and Termination
FarmGod may suspend or restrict access to the Services when reasonably necessary because of a security threat, unauthorized or unlawful activity, violation of these Terms, risk to FarmGod or other users, or other circumstances requiring action to protect systems, information, or operations.
For customers operating under a Customer Agreement, termination, suspension, payment, data retention, and related rights and obligations are governed by that Customer Agreement.
Changes to the Services or Terms
FarmGod may update these Terms from time to time to reflect changes in our Services, business practices, security requirements, or applicable law.
The date at the top of this page indicates when these Terms were most recently updated.
Continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
An update to these website Terms does not modify or supersede an executed Customer Agreement unless that Customer Agreement expressly provides otherwise.
Governing Law
Except where a Customer Agreement provides otherwise, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Any customer dispute governed by a Customer Agreement will be handled according to the governing-law and dispute-resolution provisions of that Customer Agreement.
General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
FarmGod’s failure to enforce any provision does not waive its right to enforce that provision later.
Nothing in these Terms creates a partnership, joint venture, employment, fiduciary, or agency relationship between FarmGod and any user or customer.
These Terms apply to use of the Services except to the extent superseded by an applicable Customer Agreement.
